Registered Agent Requirements in Iowa

Iowa Code § 489.115 is the registered agent requirement. Every Iowa LLC must designate and maintain one, continuously, from formation forward. The agent receives lawsuits and state correspondence at a published Iowa address. No agent on file means no compliant entity.

Three requirements, nothing more:

1. Designation. The LLC designates a registered agent and keeps one at all times.
2. Place of business. Any person may serve, an individual or an entity, provided they have a place of business in Iowa. The registered office is a street address; a PO box does not qualify.
3. Consent. The designation affirms the agent agreed to serve.

The Functional Role

Your registered agent does three things:

1. Accepts service of process. Lawsuits, subpoenas, and summonses get delivered to the registered office during business hours.
2. Receives state correspondence. Secretary of State notices, biennial report communications, compliance mail.
3. Maintains the public address. The name and street address on file are searchable by anyone.

The agent does not represent you in court, does not give legal advice, and does not file your reports. It is a point of contact with a legal duty to be findable.

Who Qualifies

Under § 489.115 the bar is simple: a person, individual or company, with a place of business in Iowa, who consents to serve. There is no long statutory checklist beyond that. What matters in practice:

• A street address in Iowa for the registered office (PO boxes fail)
• Actual availability during business hours, because missed service has consequences
• Consent, which your filing affirms

Why Owners Stop Serving as Their Own Agent

• The address is public. The registry at the Secretary of State is searchable and scraped. A home address listed there ends up on marketing lists.
• The office cannot go dark. Someone must be available at the registered office during business hours to accept documents. Vacations do not pause the obligation.
