What does a registered agent actually do?

A registered agent accepts legal documents and official state correspondence on behalf of your business during normal business hours. This includes lawsuits, subpoenas, Secretary of State notices, biennial report reminders, and tax documents. The agent's address appears on your public business filings at sos.iowa.gov.

Who needs a registered agent in Iowa?

Every LLC, corporation, and limited partnership formed in Iowa (or foreign-qualified to do business here) must maintain a registered agent with a physical street address in the state. There are no exceptions. The Iowa Secretary of State will reject formation paperwork that lacks a registered agent designation.

Can I just be my own registered agent?

You can serve as the agent for your own LLC or corporation (though the entity itself cannot be its own agent). The tradeoffs: your home or office address becomes public record, you must be physically available at that address every weekday during business hours, and process servers will come directly to you. Most people find this acceptable at first and annoying within a year.

What are Iowa's biennial report requirements?

Iowa requires a biennial report every two years instead of an annual report. The filing fee is $30 online ($45 by mail). Reports are due between January 1 and April 1. Whether you file in odd or even years depends on the quarter your business was formed — odd-year formations file in odd years, even-year formations in even years. You file through the Fast Track Filing system at sos.iowa.gov.

What happens if I miss my biennial report?

Iowa can administratively dissolve your business entity. That means you lose your LLC's liability protection and your legal standing to operate. Reinstatement requires paying all missed fees plus penalties. We send reminders before the filing window opens so this does not happen.

How fast do you scan and send documents?

Do you file my biennial report for me?

No. The biennial report requires business-specific information (current officers, address, activity description) that only you can provide. We remind you when the filing window opens and alert you to the deadline. You file it yourself through Iowa's Fast Track system — it takes about five minutes.

Can my Iowa business use your address for all correspondence?

A registered agent address is not a mailing address. In Iowa, as elsewhere, the registered agent's role is to receive legal and compliance documents on your behalf.

That means service of process, subpoenas, Secretary of State correspondence, tax notices, and compliance reminders.

It does not mean packages, Google Maps postcards, Amazon verification letters, or other third-party verification mailings. Those are declined.
