What the Report Contains

The biennial report is a short form that confirms or updates:

• Business legal name
• Principal office address
• Registered agent name and address
• Names and addresses of members/managers (LLCs) or officers/directors (corporations)
• Brief description of business activity

If nothing has changed since your last filing, you still must submit the report. It is a confirmation, not just a change notification.

What Happens If You Miss the Deadline

Late penalties. Iowa assesses additional fees for filings received after April 1.

Administrative dissolution. If your report remains unfiled, the Secretary of State will dissolve your business. Your LLC or corporation loses its legal standing. The liability protection disappears. You cannot enforce contracts or defend lawsuits as that entity.

Reinstatement costs. Getting your entity restored means paying every missed biennial fee plus penalties plus a reinstatement fee. It is significantly more expensive than filing on time.
