Forming an Iowa LLC: The Complete Process

Iowa registered agent service at a flat $99 per year. Physical address, scanned legal mail, compliance alerts. Renewals stay the same price.

Iowa cityscape

Iowa LLC formation is one filing, one $50 state fee, and one standing requirement (the registered agent). The formation document is a Certificate of Organization under Iowa Code § 489.201, and Iowa is unusual in two ways: the state supplies no fill-in form for it, and the follow-up report is biennial rather than annual. The full process is below.

Why an LLC

The entity holds the liability; you hold the entity. That separation is the product. Iowa operators use LLCs for farmland holdings, rentals, consulting practices, and small partnerships because the upkeep is minimal and the protection is real.

What Iowa Charges: The $50 Filing Fee

The Certificate of Organization fee is $50, fixed by Iowa Code § 489.122(1)(c). The complete picture:

Item Amount
Certificate of Organization (state fee) $50 one-time
Our filing service $199 one-time
Registered agent (mandatory for every Iowa LLC) $99/year
Biennial report, odd-numbered years only $30 online / $45 by mail

The $199 is our service fee. The $50 goes to the state. And note that last row: no annual report exists in Iowa. LLCs report every two years, in odd-numbered years, between January 1 and April 1.

The Certificate of Organization: Draft It or Use the Portal

Iowa does not publish a blank Certificate of Organization. No state PDF, no form number. Two options exist:

  • Draft your own. Prepare a certificate that meets Iowa Code § 489.201(2) and deliver it to the Secretary of State with $50.
  • Use Fast Track Filing. The state's online portal builds the certificate for you. Details live at help.sos.iowa.gov.

Any service claiming to sell "the official Iowa LLC form" is describing a document it drafted itself. The official items are the statute, the $50 fee, and the portal.

Six Steps to an Iowa LLC

  1. Confirm the name. Include an LLC designator and clear the distinguishability check against entities already in the state's records. Restricted terms (banking, insurance, government implications) need separate authorization.
  2. Designate a registered agent. Required by Iowa Code § 489.115: a person or company with a place of business in Iowa, street address on the public record, consent affirmed. Our plan is $99/year and keeps your address off the filing.
  3. File the certificate and pay $50. Draft-and-deliver or Fast Track, your choice. Online is the faster lane.
  4. Write the operating agreement. The state never sees it, but your bank will ask for it, and chapter 489's default rules fill any gaps you leave. Define ownership, distributions, and authority yourself.
  5. Pull an EIN. Free from the IRS, issued online in minutes. Anyone selling EIN service is reselling a free government process.
  6. Mark the biennial cycle. First report: January 1 to April 1 of the first odd-numbered year after formation. $30 online, $45 by mail. Unfiled by August means administrative dissolution.

The Registered Agent Requirement

Non-negotiable for every Iowa LLC, start to finish. The agent must:

  • Keep a place of business in Iowa with a street address on the record (a PO box alone fails)
  • Be available during business hours to accept service of process
  • Relay legal and state mail promptly enough for you to respond

Serve as your own agent and your address enters the public database on day one. Our $99/year plan substitutes our address for yours.
